Common use of No Governmental Restraint Clause in Contracts

No Governmental Restraint. (i) No Order shall be in effect, and no Law shall have been enacted or adopted, that restrains, enjoins, makes illegal or otherwise prohibits the consummation of any of the transactions contemplated by this Agreement; and (ii) no Proceeding by any Governmental Entity with respect to the Merger or the other transactions contemplated by this Agreement shall be pending that seeks to restrain, enjoin, prohibit or delay consummation of the Merger or such other transactions or to impose any material restrictions or requirements thereon or on the Buyer Parties or the MLP Parties with respect thereto that would, individually or in the aggregate, constitute an MLP Material Adverse Effect or a Buyer Material Adverse Effect.
