Common use of No Immunity Clause in Contracts

No Immunity. None of the Company or its Subsidiaries or any of their respective properties, assets or revenues has any right of immunity, under the laws of the British Virgin Islands, the People’s Republic of China or the State of New York, from any legal action, suit or proceeding, the giving of any relief in any such legal action, suit or proceeding, set-off or counterclaim, the jurisdiction of any British Virgin Islands, People’s Republic of China, New York or United States federal court, service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement and the Transaction Documents; and, to the extent that the Company or any of its Subsidiaries or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement.

No Immunity. None of the Company or its Subsidiaries or any of their respective properties, assets or revenues has any right of immunity, under the laws of the British Virgin Cayman Islands, Hong Kong, the People’s Republic of China PRC or the State of New York, from any legal action, suit or proceeding, the giving of any relief in any such legal action, suit or proceeding, set-off or counterclaim, the jurisdiction of any British Virgin Cayman Islands, People’s Republic of ChinaHong Kong, the PRC, New York or United States federal court, service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Escrow Agreement and or the Transaction Documents; Representatives’ Warrants; and, to the extent that the Company or any of its Subsidiaries or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement, the Escrow Agreement and the Representatives’ Warrants.

No Immunity. None of Neither the Company or its Subsidiaries or nor any of its subsidiaries or their respective propertiesproperties or assets has immunity under Bermuda, assets U.S. federal or revenues has any right of immunity, under the laws of the British Virgin Islands, the People’s Republic of China or the State of New York, York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any British Virgin IslandsBermuda, People’s Republic of China, U.S. federal or New York or United States federal state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, court with respect to its their respective obligations, liabilities or any other matter under or arising out of or in connection with this Agreement and the Transaction Documentsherewith; and, to the extent that the Company or any of its Subsidiaries subsidiaries or any of their respective its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, each of the Company has, pursuant to Section 18(d) of this Agreement, waived, and its Subsidiaries waives it will waive, or will waive cause its subsidiaries to waive, such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreementlaw.

None of the Company or its Subsidiaries Company, the Controlled Entities or any of their respective properties, assets or revenues has any right of immunity, under the laws of the British Virgin Cayman Islands, Hong Kong, the People’s Republic of China or PRC, the State of New YorkYork or the United States, from any legal action, suit or proceeding, the giving of any relief in any such legal action, suit or proceeding, set-off or counterclaim, the jurisdiction of any British Virgin Cayman Islands, People’s Republic of ChinaHong Kong, the PRC, New York or United States federal court, service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement and the Transaction DocumentsAgreement; and, to the extent that the Company or Company, any of its Subsidiaries the Controlled Entities or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries the Controlled Entities waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in this AgreementSection 12 hereof.

No Immunity. No Immunity. None of the Company or its Subsidiaries Company, the Subsidiaries, the VIE, the VIE Subsidiary or any of their respective properties, assets or revenues has any right of immunity, under the laws of the British Virgin PRC, the Cayman Islands, the People’s Republic of China or the State of New York, from any legal action, suit or proceeding, the giving of any relief in any such legal action, suit or proceeding, set-off or counterclaim, the jurisdiction of any British Virgin PRC, Cayman Islands, People’s Republic of China, New York or United States federal court, service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement and the Transaction Documents; and, to the extent that the Company or any of its Subsidiaries or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement.

No Immunity. No Immunity. None of the Company or its Subsidiaries or VIEs or any of their respective properties, assets or revenues has any right of immunity, under the laws of the British Virgin IslandsHong Kong, the People’s Republic of China PRC or the State of New York, from any legal action, suit or proceeding, the giving of any relief in any such legal action, suit or proceeding, set-off or counterclaim, the jurisdiction of any British Virgin IslandsHong Kong, People’s Republic of Chinathe PRC, New York or United States federal court, service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Purchase Agreement and or the Transaction Documents; Warrants; and, to the extent that the Company or any of its Subsidiaries or VIEs or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries and VIEs waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement, the Purchase Agreement and the Warrants.

No Immunity. None of Neither the Company or its Subsidiaries or any subsidiary nor any of their respective properties, assets or revenues has any right of immunityimmunity under Cayman Islands, under the laws of the British Virgin Islands, the People’s Republic of China Chinese, New York or the State of New YorkUnited States federal law, from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Cayman Islands, British Virgin Islands, People’s Republic of ChinaChinese, New York or United States federal court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Deposit Agreement and or the Transaction DocumentsSecurities; and, to the extent that the Company Company, or any of its Subsidiaries subsidiary or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries the subsidiaries waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in Section 16 of this Agreement and Section 7.8 of the Deposit Agreement.

None of the Company or its Subsidiaries or the VIE or any of their respective properties, assets or revenues has any right of immunity, under the laws of the British Virgin Islands, Florida the People’s Republic of China China, Hong Kong or the State of New York, from any legal action, suit or proceeding, the giving of any relief in any such legal action, suit or proceeding, set-off or counterclaim, the jurisdiction of any British Virgin Islands, People’s Republic of China, New York or United States federal court, service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement and the Transaction Documents; and, to the extent that the Company or any of its Subsidiaries or the VIE or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries and the VIE waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement.

None of the Company or its Subsidiaries or any of their respective properties, assets or revenues has any right of immunity, under the laws of the British Virgin Cayman Islands, Hong Kong, the People’s Republic of China PRC or the State of New York, from any legal action, suit or proceeding, the giving of any relief in any such legal action, suit or proceeding, set-off or counterclaim, the jurisdiction of any British Virgin Cayman Islands, People’s Republic of ChinaHong Kong, the PRC, New York or United States federal court, service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement and or the Transaction DocumentsRepresentative’s Warrants; and, to the extent that the Company or any of its Subsidiaries or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in this AgreementAgreement and the Representative’s Warrants.
