No Injunction, Etc. No action proceeding, investigation or legislation shall have been instituted, threatened or proposed before any court, governmental agency or legislative body to enjoin, restrain, prohibit or obtain substantial damages in respect of, or which is related to or arises out of, this Agreement or the consummation of the transactions contemplated hereby, or which is related to or arises out of the business or operations of SEI, if such action, proceeding, investigation or legislation, in the reasonable judgment of the Company or its counsel, would make it inadvisable to consummate such transactions.

No action proceeding, investigation or legislation shall have been instituted, threatened or proposed before any court, governmental agency or legislative body to enjoin, restrain, prohibit or obtain substantial damages in respect of, or which is related to or arises out of, this Agreement or the consummation of the transactions contemplated hereby, or which is related to or arises out of the business or operations of SEI, if such action, proceeding, investigation or legislation, in the reasonable judgment of the Company Shareholders or its their counsel, would make it inadvisable to consummate such transactions.

No action action, proceeding, investigation or legislation shall have been instituted, threatened or proposed before any court, governmental agency agency, or legislative body to enjoin, restrain, prohibit or obtain substantial damages in respect of, or which is related to to, or arises out of, this Agreement or the consummation of the transactions contemplated hereby, or which is related to or arises out of the business or operations of SEIAcquisition, if such action, proceeding, investigation or legislation, in the reasonable judgment of the Company Seller or its counsel, would make it inadvisable to consummate such transactions.
