Common use of No Injunction or Restraint Clause in Contracts

No Injunction or Restraint. No Governmental Authority in the United States shall have enacted, issued, promulgated, enforced or entered any injunction, order, decree or ruling (whether temporary, preliminary or permanent) which is then in effect and makes consummation of the Merger or the Asset Sales illegal or prohibits consummation of the Merger or the Asset Sales; provided, however, that the party claiming such failure of condition shall have used its reasonable best efforts to prevent the entry of any such injunction or order, including taking such action as is required to comply with Section 8.10, and to appeal as promptly as possible any injunction or other order that may be entered.
