No Injunction or Restraint. There shall not be in effect any temporary or permanent restraining order, decree, ruling or injunction or other order of a court or other Governmental Body of competent jurisdiction directing that the transactions contemplated herein not be consummated, or making such consummation unlawful, or otherwise materially limiting or restricting ownership or operation of the Business by Buyer; provided, however, that each of the parties shall have used their reasonable efforts to prevent the entry of any such temporary or permanent restraining order, injunction or other order; and
