The Grantee represents that he or she is acquiring the Series C Units subject to the Award solely for his or her own account, for investment purposes only, and not with a view to or an intent to sell, or to offer for resale in connection with any unregistered distribution, all or any portion of the Series C Units subject to the Award within the meaning of the Securities Act or other applicable state securities laws.
