No Issue of Units as Compensation. Except insofar as a director, officer or employee may have an indirect interest in Units issued to Benetti, no Units may be issued by way of compensation (including pursuant to the exercise of any option or warrant) to a director of the General Partner, or to an officer, consultant, or employee of the General Partner or of the Partnership.
