Common use of No Knowledge of Misrepresentations or Omissions Clause in Contracts

No Knowledge of Misrepresentations or Omissions. None of Buyer or any of its Affiliates has: (a) any knowledge that any representation or warranty of Seller in this Agreement is not true and correct in all material respects; or (b) any knowledge of any material errors in, or material omissions from, any Schedule comprising the Disclosure Schedules.

None of Buyer or Purchaser nor any Affiliate of its Affiliates has: (a) Purchaser has any knowledge that any representation or warranty of Seller in this Agreement or any other agreement contemplated hereby is not true and correct in all material respects; or (b) , and none of Purchaser nor any Affiliate of Purchaser has any knowledge of any material errors in, or material omissions from, this Agreement, the Seller Disclosure Schedule or the schedules, exhibits or attachments to any Schedule comprising the Disclosure Schedulesagreement contemplated hereby.
