Except as set forth in the Airways SEC Filings or in Schedule 2.06 to Airways' Disclosure Statement, there is no suit, action or legal, administrative, arbitration or other proceeding or governmental investigation pending, or to the best of the knowledge of Airways threatened, which if adversely determined, would be a Material Adverse Effect.
