No Material Adverse Development. No material adverse development shall have occurred with respect to the Stations that results in a significant impairment to the ability of the Stations to operate as they are currently operated or represents a substantial impairment of the aggregate value of the Stations or Assets being conveyed, provided, however, a decline in economic conditions generally shall not constitute a substantial impairment of the aggregate value of the Stations or Assets being conveyed.
