Common use of No Material Judgment or Order Clause in Contracts

No Material Judgment or Order. There shall not be on the Issue Date any judgment, injunction or order of a court of competent jurisdiction or any ruling of any Governmental Authority which would prohibit the purchase of the Notes hereunder or subject the Holders to any penalty under or pursuant to any Requirement of Law if the Notes were to be purchased hereunder.

No Material Judgment or Order. There shall not be in effect on the Issue Additional Closing Date any judgment, injunction or order of a court of competent jurisdiction or any ruling of any Governmental Authority which Entity or any condition imposed under any Requirement of Law which, in the judgment of the Purchaser, would prohibit the purchase of the Notes hereunder or subject the Holders Purchaser to any penalty under or pursuant to any Requirement of Law if the Notes were to be purchased hereunder.

No Material Judgment or Order. There shall not be in effect on the Issue Initial Closing Date any judgment, injunction or order of a court of competent jurisdiction or any ruling of any Governmental Authority which Entity or any condition imposed under any Requirement of Law which, in the judgment of the Purchaser, would prohibit the purchase of the Notes hereunder or subject the Holders Purchaser to any penalty under or pursuant to any Requirement of Law if the Notes were to be purchased hereunder.

No Material Judgment or Order. There shall not be on the Issue Closing Date any judgment, injunction judgment or order of a court of competent jurisdiction or any ruling of any Governmental Authority which governmental authority or any condition under Applicable Law which, in the judgment of the Noteholders would prohibit the purchase of the Convertible Notes hereunder or subject the Holders Noteholders to any penalty or other onerous condition under or pursuant to any Requirement of Applicable Law if the Convertible Notes were to be purchased hereunder.

There shall not be on the Issue Closing Date any judgment, injunction or order of a court of competent jurisdiction or any ruling of any Governmental Authority which would prohibit the purchase of the Notes hereunder or subject the Holders Purchasers to any penalty under or pursuant to any Requirement of Law if the Notes were to be purchased hereunder.

There shall not be on the Issue Closing Date any judgment, injunction judgment or order of a court of competent jurisdiction or any ruling of any Governmental Authority which would prohibit the purchase sale of the Notes Initial Note hereunder or the issuance of the Warrants pursuant to the Warrant Agreement or subject the Holders Company to any material penalty under or pursuant to any Requirement of Law if binding on the Notes were to be purchased hereunderInitial Purchaser in connection with the acquisition of the Initial Note or the issuance of the Warrants.

There shall not be on the Issue Date Initial Closing Date, any judgment, injunction or order of a court of competent jurisdiction or any ruling of any Governmental Authority which which, in the judgment of the Purchaser, would prohibit the purchase of the Notes hereunder or subject the Holders Purchaser to any penalty or other onerous condition under or pursuant to any Requirement of Law if the Notes were to be purchased hereunder.
