Common use of No Material Proceedings Clause in Contracts

No Material Proceedings. No action or administrative proceeding of or before any court, arbitrator or agency (including, but not limited to, investigative proceedings) which could reasonably be expected to have a Material Adverse Effect has been started or threatened against it or any of its assets.

No Material Proceedings. No action or administrative proceeding proceedings (other than in relation to the Part 1 Liabilities) of or before any court, arbitrator court or agency (including, but not limited to, investigative proceedings) which could reasonably be expected to have a Material Adverse Effect has been started or threatened against (so far as it or any of its assetsis aware) threatened.

No As far as it is aware, no action or administrative proceeding of or before any court, arbitrator court or agency (includingwhich, but not limited toif adversely determined, investigative proceedings) which could might reasonably be expected to have a Material Adverse Effect has been started or threatened against it or (other than any of its assetslegal proceedings which could not reasonably be expected to be adversely determined against it).
