Common use of No Material Transactions Clause in Contracts

No Material Transactions. That no material transactions shall have been entered into by Global Mergerco, Turfclub Mergerco, IMSCO or GLOBAL other than transactions in the ordinary course of business since March 31, 2001, other than as referred to in this Agreement, except with the prior written consent of TURFCLUB.
