Common use of No Misstatement Clause in Contracts

No Misstatement. None of the representations, warranties, covenants and agreements made in this Agreement or in any certificate or other document delivered to the Purchasers, when viewed together as a whole, by or on behalf of the Company pursuant to or in connection with this Agreement contains any untrue statement of a material fact, or omits to state a material fact necessary to make the statements contained therein not misleading in light of the circumstances when made or furnished to the Purchasers and as of the Closing Date (except for any statement therein or omission therefrom which was corrected, amended or supplemented or otherwise disclosed in a subsequent certificate or other document on or prior to the Closing Date).

None of the representations, warranties, covenants and agreements made by the Company in this Agreement or in any certificate or other document delivered to the Purchasers, when viewed together as a whole, Purchasers by or on behalf of the Company pursuant to or in connection with this Agreement Agreement, contains any untrue statement of a material fact, or omits to state a material fact necessary to make the statements contained therein not misleading in light of the circumstances when made or furnished to the Purchasers and Purchasers, as of the Closing Date (date of this Agreement, except for any statement therein herein or omission therefrom therefore which was corrected, amended amended, or supplemented or otherwise disclosed or updated in a subsequent certificate exhibit, schedule or other document on or prior to the Closing Date)date of this Agreement.
