Common use of No New Information Clause in Contracts

No New Information. The Administrative Agent shall not have discovered or otherwise become aware of any information, circumstance, development or other matter not previously disclosed to the Administrative Agent that the Administrative Agent believes to be inconsistent in a material and adverse manner with its understanding, based on the information provided to the Administrative Agent prior to the Effective Date, of (i) the business, assets, liabilities, operations, condition (financial or otherwise), prospects, operating results or the Projections of the Borrower and its Subsidiaries taken as a whole or (ii) the transactions contemplated by the Loan Agreement (as expressly modified hereby);

No New Information. The Administrative Agent shall not have discovered or otherwise become aware of any information, circumstance, development or other matter (including any matter relating to the Initial Projections previously delivered) not previously disclosed to the Administrative Agent that the Administrative Agent believes to be inconsistent in a material and adverse manner with its understanding, based on the information provided to the Administrative Agent prior to the Effective Closing Date, of (ia) the business, assets, liabilities, operations, condition (financial or otherwise), prospects, operating results or the Projections of the Borrower and its Subsidiaries taken as a whole or (iib) the transactions contemplated by the Loan Agreement (as expressly modified hereby);this Agreement.
