No court or other Governmental Entity having jurisdiction over the Company or Parent, or any of their respective Subsidiaries, shall have enacted, issued, promulgated, enforced or entered any law, rule, regulation, executive order, decree, injunction or other order (whether temporary, preliminary or permanent) which is then in effect and has the effect of making the Merger or any of the transactions contemplated hereby illegal.

No court Court or other Governmental Entity Authority having jurisdiction over the Company or Parent, or any of their respective Subsidiaries, Acquiror shall have enacted, issued, promulgated, enforced or entered any lawLaw, rule, regulation, executive order, decree, injunction Regulation or other order Order (whether temporary, preliminary or permanent) which is then in effect and which has the effect of making the Merger illegal or any otherwise prohibiting consummation of the transactions Merger substantially on the terms contemplated hereby illegalby this Agreement.

No court or other Governmental Entity having jurisdiction over the Company or Parent, or any of their respective Subsidiaries, shall have enacted, issued, promulgated, enforced or entered any law, rule, regulation, executive order, decree, injunction or other order (whether temporary, preliminary or permanent) which is then in effect and has prohibiting or having the effect of making illegal the consummation of the Merger or the Subsequent Merger (collectively, an “Order”) and no Governmental Entity shall have instituted any of the transactions contemplated hereby illegalproceeding that is pending seeking such an Order.

No court or other Governmental Entity Authority having jurisdiction over the Company or Parent, or any of their respective Parent’s Subsidiaries, shall have enacted, issued, promulgated, enforced or entered any law, rule, regulation, executive order, decree, injunction or other order (whether temporary, preliminary or permanent) which is then in effect and has the effect of making the Merger or any of the transactions contemplated hereby illegal.

No court or other Governmental Entity having jurisdiction over the Company or Parent, or any of their respective Subsidiaries, shall have enacted, issued, promulgated, enforced or entered any law, rule, regulation, executive order, decree, injunction or other order (whether temporary, preliminary or permanent) which is then in effect and has prohibiting or having the effect of making illegal the consummation of the Merger or (collectively, an “Order”) and no Governmental Entity shall have instituted any of the transactions contemplated hereby illegalproceeding that is pending seeking such an Order.

No court or other Governmental Entity having jurisdiction over the Company or ParentAcquiror, or any of their respective Subsidiaries, shall have enacted, issued, promulgated, enforced or entered any law, rule, regulation, executive order, decree, injunction or other order (whether temporary, preliminary or permanent) which that is then in effect and has the effect of making the Merger or any of the transactions contemplated hereby illegal.

No court or other Governmental Entity having or court of competent jurisdiction over the Company or Parent, or any of their respective Subsidiaries, shall have enacted, issued, promulgated, enforced or entered any law, rule, regulation, executive orderjudgment, decree, injunction injunction, executive order or other order award (whether temporary, preliminary or permanentan "Order") which that is then in effect or pending or threatened and has has, or would have, the effect of making the Merger illegal or any otherwise prohibiting the consummation of the transactions contemplated hereby illegalMerger.
