No Other Action. No action by, or in respect of, or filing with, any Governmental Authority is required for the execution, delivery and performance by CBLI of this Acknowledgment or any Transaction Document to which CBLI is a party, except for any Form D filings pursuant to Rule 506 of Regulation D of the Securities Act and any notice filings required by the laws of any U.S. state or any political subdivision thereof.
