No Press Releases. Neither party shall make any press release or other public statements regarding or mentioning the other party or this Agreement without the prior written consent of such other party.

No Press Releases. No party herein shall issue a press releases, advertisement, publicity material or similar written matter or participate in a media interview which mentions or refers to another party without the prior written consent of that party.

No Press Releases. Except as may be required under applicable law, the parties agree that this Agreement, their negotiations in connection herewith and all information obtained by or provided to any of them in connection with the matters contemplated herein will be maintained as confidential, except for disclosures to representatives of Seller or Buyer as required for this transaction and who are likewise bound by confidentiality. If any party is required by law or the rules of a stock exchange to make a press release concerning the transaction contemplated by this Agreement, the other party shall first be afforded an opportunity to review the content of the proposed disclosure and provide reasonable comment regarding same.

No Press Releases. Prior to Closing neither party shall make any public announcement with respect to the transaction contemplated hereby without the consent of the other party, except as may be required under applicable law (including applicable securities laws) in which case the other parties to this Agreement shall be advised and the parties shall use their reasonable best efforts to cause a mutually agreeable release or announcement to be issued; provided, however, that the foregoing shall not preclude communications or disclosures necessary to implement the provisions of this Agreement (including communications or disclosures to lenders or rating agencies or in connection with the receipt of any consents or contractual notices) or to comply with applicable accounting, tax and disclosure obligations of any governmental entity.

No Press Releases. The Stockholder shall not, nor shall the Stockholder authorize or permit any investment banker, attorney or other adviser or representative of the Stockholder to, issue any press release or make any other public statement with respect to this Agreement, the Merger Agreement, the Merger or any related transactions without the prior written consent of Parent, except as may be required by Applicable Law.

The following language is hereby added as Section 13(m) of the Agreement:

Notwithstanding the foregoing, even if consented to by the other party no such press release or other communication shall include any information (other than the identification of the parties) that is required to be kept confidential pursuant to the other provisions of this Section. Purchaser and Seller each agrees to direct its broker(s) (including Purchaser directing Purchaser’s Broker) to abide by the confidentiality provision herein, but in no event shall a breach of this provision by any such broker be deemed a default by Purchaser or Seller. Notwithstanding the foregoing, upon completion of the Closing, Purchaser may issue press releases or other public communications announcing its purchase of the Property without the consent of Seller.
