No Proceeding or Litigation. No action, suit or proceeding before any court or any other Governmental Authority or Regulatory Agency shall have been commenced or threatened, and no investigation by any Governmental Authority or Regulatory Agency shall have been threatened, against any of the parties to this Agreement or any of the principals, officers or directors of any of them seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.

No Proceeding or Litigation. No action, suit or proceeding before any court or court, any other Governmental Authority or Regulatory Agency shall have been commenced or threatened, and no investigation by any Governmental Authority or Regulatory Agency shall have been threatened, against any of the parties to this Agreement or any of the principals, officers officers, directors or directors stockholders of any of them seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.

No action, suit or proceeding before any court or any other Governmental Authority or Regulatory Agency regulatory authority shall have been commenced or threatened, and no investigation by any Governmental Authority or Regulatory Agency regulatory authority shall have been threatenedcommenced or threatened against Seller, against any of the parties to this Agreement Company, NewCo or Merger Sub, or any of the their respective principals, officers or directors of any of them managers, seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.

No action, suit or proceeding before any court or any other Governmental Authority or Regulatory Agency Body shall have been commenced or threatened, and no investigation by any Governmental Authority or Regulatory Agency Body shall have been threatened, against any of the parties to this Agreement Purchaser or any of the principals, officers or directors of any of them Purchaser seeking to or that might tend to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.

No action, suit or proceeding before any court or any other Governmental Authority governmental or Regulatory Agency regulatory authority shall have been commenced commenced, or threatened, and no investigation by any Governmental Authority governmental or Regulatory Agency regulatory authority shall have been commenced, or threatened, against any of the parties to this Agreement Corporation, Shareholders, AFI or any of the their respective principals, officers or directors of any of them directors, seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.

No action, suit or proceeding before any court or any other Governmental Authority governmental or Regulatory Agency regulatory authority shall have been commenced or threatened, and no investigation by any Governmental Authority governmental or Regulatory Agency regulatory authority shall have been threatened, commenced or threatened against any of the parties to this Agreement Sellers, FIR Group Companies, Holdings or any of the their respective principals, officers or directors of any of them seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.

No action, suit or proceeding before any court or any other Governmental Authority governmental or Regulatory Agency regulatory authority shall have been commenced commenced, or threatened, and no investigation by any Governmental Authority governmental or Regulatory Agency regulatory authority shall have been commenced, or threatened, against any of the parties to this Agreement Company, Purchaser, Shareholders, or any of the their respective principals, officers or directors of any of them directors, seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.
