No Redemption Requirements. There are no options, warrants, equity securities, calls, rights, commitments or agreements of any kind or character by which the Underlying Asset or any of the Shareholders is obligated to issue, deliver, transfer or sell, or cause to be issued, delivered, transferred or sold, any shares of capital stock or other securities of the Underlying Asset. There are no outstanding contractual obligations (contingent or otherwise) of the Underlying Asset to retire, repurchase, redeem or otherwise acquire any outstanding shares of capital stock of, or other ownership interests in, the Underlying Asset or to provide funds to or make any investment (in the form of a loan, capital contribution or otherwise) in any other entity.
