No action, suit, or proceeding before any Court or Governmental Authority will be pending, no investigation by any Governmental Authority will have been commenced against the Acquiror, the Company or any of its Subsidiaries, or any of the principals, officers or directors of any of them, seeking to restrain, prevent or change the transactions contemplated hereby or questioning the legality or validity of any such transactions or seeking damages in connection with any such transactions.
