No Restraining Proceedings. No order, decision or ruling of any court, tribunal or regulatory authority having jurisdiction will have been made, and no action or proceeding will be pending or threatened which, in the opinion of counsel to Deal Capital, is likely to result in an order, decision or ruling, (a) to disallow, enjoin, prohibit or impose any limitations or conditions on the Share Sale or the transactions contemplated hereby or the right of Deal Capital to own the Subsidiaries Shares; or (b) to impose any limitations or conditions which may have an adverse effect on the Business or the Condition of the Subsidiaries.
