Common use of No Restraints Clause in Contracts

No Restraints. No Law, Order (whether temporary, preliminary or permanent) or other legal restraint or prohibition entered, enacted, promulgated, enforced or issued by any Governmental Authority of competent jurisdiction shall be in effect which prohibits, makes illegal, enjoins, or otherwise restricts, prevents or prohibits the consummation of the Merger or any of the transactions contemplated by this Agreement.

No Lawstatute, Order (whether temporaryrule, regulation, executive order, decree, ruling, temporary restraining order or preliminary or permanent) or other legal restraint or prohibition entered, enacted, promulgated, enforced permanent injunction of any Governmental Authority or issued by any Governmental Authority court of competent jurisdiction shall be in effect having jurisdiction which prohibits, makes illegalrestrains, enjoins, renders illegal or otherwise restricts, prevents or prohibits the enjoins consummation of the Merger or any of the transactions contemplated by this Agreementshall be in effect.
