Common use of No Right of Setoff Clause in Contracts

No Right of Setoff. The Purchaser shall have no right to set off all or any portion of the Ballistics Earn-Out Payments against any claims that the Purchaser may have against the Seller under this Agreement or otherwise (other than amounts due to the Purchaser under the Supply and Services Agreement that are not subject to dispute).

No Right of Setoff. The Purchaser shall have no right not be entitled to set set-off all against any payment obligations owing by it to any of the Company Shareholders or any portion of Contributing Securityholder under this Agreement, or any other certificate, agreement, document or other instrument to be executed and delivered by the Ballistics Earn-Out Payments Purchaser in connection with the transactions contemplated hereby, or against any claims that the Purchaser may have under such agreements against any of the Seller under this Agreement or otherwise (other than amounts due to the Purchaser under the Supply and Services Agreement that are not subject to dispute)foregoing.
