No Scheme Sample Clauses

The "No Scheme" clause prohibits the parties from engaging in or facilitating any arrangement, plan, or scheme that would circumvent the intended structure or purpose of the agreement. In practice, this means that neither party can create side agreements, use third parties, or otherwise act in a way that would undermine the contractual obligations or benefits set out in the main contract. This clause is essential for maintaining the integrity of the agreement, ensuring that both parties adhere to its terms and preventing attempts to avoid responsibilities or gain unfair advantages through indirect means.
No Scheme. The transactions contemplated by this Agreement: (a) have not been pre-arranged with a purchaser located in the United States, its territories or possessions, or who is a U.S. Person; and (b) are not part of a plan or scheme to evade the registration provisions of the 1933 Act.
No Scheme. The current structure of this transaction and all transactions and activities contemplated hereunder is not a scheme to avoid the registration requirements of the U.S. Securities Act.

  • No Smoking Policy Due to the increased risk of fire, increased maintenance costs, and the health effects of secondhand smoke, the Lessor is adopting the following No-Smoking Policy, which prohibits smoking inside the unit rented by Lessee(s), property and any common interior areas, including but not limited to hallways, laundry rooms, stairways, and elevator, within all living units, and within 10 feet of building(s) including entry ways, porches, balconies and patios. This policy applies to all residents, guests, and visitors.

  • Certain Employees (a) Each of the following is included in the list of agreements set forth in the Disclosure Schedule: all collective bargaining agreements, employment and consulting agreements, bonus plans, deferred compensation plans, employee pension plans or retirement plans, employee profit-sharing plans, employee stock purchase and stock option plans, hospitalization insurance, and other plans and arrangements providing for employee benefits of employees of the Seller. (b) The Disclosures Schedule contains a true, complete and accurate list of the following: the names, positions, and compensation of the present employees of the Seller, together with a statement of the annual salary payable to salaried employees and a summary of the bonuses and description of agreements for additional compensation and other like benefits, if any, paid or payable to such persons for the period set forth in the Disclosure Schedule. Except as listed in the Disclosure Schedule, to the best of Seller's knowledge, all employees of Seller are employees-at-will. (c) Seller has no retired employees who are receiving or are entitled to receive any payments, health or other benefits from Seller.

  • No New Employees New employees shall not be hired until those laid off have been given an opportunity of recall.

  • No Shareholder Approval By either Buyer or Company (provided in the case of Company that it shall not be in material breach of any of its obligations under Section 5.04), if the Requisite Company Shareholder Approval shall not have been obtained by reason of the failure to obtain the required vote at a duly held meeting of such shareholders or at any adjournment or postponement thereof.
