No Shelf Registration. CGI shall not be required to amend or maintain the effectiveness of the Registration Statement for the purpose of permitting resale of the shares of CGI Common Stock received pursuant hereto by the persons who may be deemed to be "affiliates" of STC or CGI within the meaning of Rule 145 promulgated under the Securities Act.
