Common use of No Shelf Registration Clause in Contracts

No Shelf Registration. ▇▇▇▇ Atlantic shall not be required to amend or maintain the effectiveness of the Registration Statement for the purpose of permitting resale of the shares of ▇▇▇▇ Atlantic Common Stock received pursuant hereto by the persons who may be deemed to be "affiliates" of GTE or ▇▇▇▇ Atlantic within the meaning of Rule 145 promulgated under the 1933 Act. The shares of ▇▇▇▇ Atlantic Common Stock issuable upon exercise of options pursuant to Section 2.8 hereof shall be registered under the 1933 Act and such registration shall be effective at the time of issuance.
