No Third Party Beneficiaries; Assignment. This Agreement shall be binding upon and inure solely to the benefit of the parties hereto and their permitted successors and assigns, and nothing herein, express or implied, is intended to or shall confer upon any other person or entity, any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of this Agreement or the transactions contemplated hereunder. No party hereto may assign any of its rights or obligations under this Agreement to any person or entity without the prior written consent of the other party hereto.

This Agreement shall not be binding upon and inure solely deemed to be for the benefit of any entity or person who is not a Party to the parties hereto Agreement and their permitted successors and assignsdoes not create any rights, benefits or causes of action for any other person, entity or member of the general public (including but not limited to, the record owner(s) of the property within the Service Area), and nothing hereinneither this Agreement, express or impliednor any interest therein, is intended to or shall confer upon any other person or entity, any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of this Agreement or the transactions contemplated hereunder. No party hereto may assign any of its rights or obligations under this Agreement to any person or entity be assigned without the prior written consent of the other party heretonon-assigning Party. Any attempted assignment without the prior written consent of the non-assigning Party shall be void.
