Common use of No Third Party Infringement of Acquired Entity IP Clause in Contracts

No Third Party Infringement of Acquired Entity IP. To the Knowledge of the Company, no Person has infringed, misappropriated or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Acquired Entity IP. The Company has made available to Parent all material documents regarding any actual, alleged or suspected infringement or misappropriation of any Acquired Entity IP or Acquired Entity Product (including any admission made by any Acquired Entity).

No Third Party Infringement of Acquired Entity IP. To the Knowledge of the Company, no Person has infringed, misappropriated or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Acquired Entity IP. The Company has made available to Parent all material documents regarding regarding: (i) any actual, alleged or suspected infringement or misappropriation of any Acquired Entity IP or Acquired Entity Product Product; and (including ii) any admission made by third party allegations of any Acquired Entity)Entity infringing or misappropriating any third party’s Intellectual Property Rights.
