No representation or warranty by Pentegra in this Agreement, and no Exhibit or certificate issued by officers or directors of Pentegra and furnished or to be furnished to Company or any Shareholder pursuant hereto, or in connection with the transactions contemplated hereby, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact necessary to make the statements or facts contained therein not misleading.
