No Untrue Statement. Neither (a) this Agreement nor any certificate or document executed and delivered by or on behalf of any Loan Party in accordance with or pursuant to this Agreement nor (b) any written or formally presented statement, report, document (including the Information Memorandum), representation or warranty provided to the Administrative Agent or any Lender in connection with the negotiation or preparation of this Agreement (as modified or supplemented by other written or formally presented statements, reports, documents, representations and warranties furnished to the Lenders prior the date of this Agreement) contains any untrue statement of material fact or omits to state a material fact necessary in order to make the statements contained therein, in light of the circumstances under which such statements were made, not materially misleading.

Neither (a) this Agreement nor any other document, certificate or document executed and delivered statement furnished to Lender by or on behalf of any Loan Party in accordance with or pursuant to this Agreement nor (b) any written or formally presented statementParty, report, document (including the Information Memorandum), representation or warranty provided to the Administrative Agent or any Lender in connection with the negotiation or preparation of this Agreement (as modified or supplemented by other written or formally presented statements, reports, documents, representations and warranties furnished to the Lenders prior the date of this Agreement) contains any untrue statement of a material fact or omits to state a material fact necessary in order to make the statements contained herein and therein not misleading or incomplete. No representation or warranty of Borrower contained herein or made hereunder and no report, statement, certificate, schedule or other document furnished or to be furnished by any Loan Party in connection with the transactions contemplated by this Agreement and any Loan Document contains a misstatement of a material fact or omits to state a material fact required to be stated therein in order to make any statements contained therein, in light of the circumstances under which such statements were it is made, not materially misleading.
