Common use of Non-Disclosure and Non-Use of Confidential Information Clause in Contracts

Non-Disclosure and Non-Use of Confidential Information. Recipient agrees to accept and use Confidential Information solely for the Purpose. Recipient will not disclose, publish, or disseminate Confidential Information to a third party other than those of its employees with a need to know, bound in writing by the terms hereof and further agrees to prevent any unauthorised use, disclosure, publication, or dissemination of Confidential Information and ensure that such Recipient’s employees fully perform the duties and obligations hereunder, and to this end such party shall obtain appropriate written agreements with its employees, but in any event the Recipient agrees to be responsible for any use or disclosure of Confidential Information of any of its said employees. Recipient agrees not to use Confidential Information otherwise for its own or any third party’s benefit without the prior written approval of an authorised representative of the Disclosing Party in each instance. In performing its duties and obligations hereunder, Recipient agrees to use at least the same degree of care as it does with respect to its own confidential information of like importance but, in any event, at least reasonable care. Further, Recipient agrees that it shall not make any copies of the Confidential Information on any type of media, without the prior express written permission of the authorised representative of the Disclosing Party.

Recipient PNO will not disclose, publish, or disseminate Confidential Information to a any third party other than those of its its, executive officers, directors, accountants, attorneys and employees with a need to knowknow (“Representatives”), bound in writing by the terms hereof and further PNO agrees to take reasonable precautions to prevent any unauthorised unauthorized use, disclosure, publication, or dissemination of Confidential Information and ensure ensures that such Recipient’s employees Representatives fully perform the duties and obligations hereunder, hereunder and to this end such party shall obtain appropriate written agreements with its employeessuch Representatives, but in any event the Recipient PNO agrees to be responsible for any use or disclosure of Confidential Information of any of its said employeesRepresentatives.
