Non-Disclosure of Proprietary Information. The Executive agrees that he will not disclose the trade secrets or confidential and proprietary information of the Company during the Term or thereafter. The parties understand and agree that nothing contained herein shall prevent the Executive from disclosing: (1) information required to be disclosed pursuant to compulsory legal process, provided that he shall give the Company prompt notice of such process prior to disclosure; (2) information which was in his lawful possession at the time of or prior to its submission to him by the Company; or (3) information which is in the public domain.
