Common use of Non-Disparagement Clause in Contracts

Non-Disparagement. The Executive shall not make any disparaging remarks, or any remarks that could reasonably be construed as disparaging, regarding the Company, or its officers, directors, employees, shareholders, representatives or agents.

Non-Disparagement. The Executive shall not at anytime make any false, misleading or disparaging remarks, or any remarks that could reasonably be construed as disparaging, regarding statements about the Company, its parent, subsidiaries or its officersaffiliates, including any of their products, services, management, directors, officers, employees, shareholders, representatives or agentsand customers.

The Executive shall not agrees that during the Term and thereafter, the Executive will make any no disparaging remarks, or any remarks that could reasonably be construed as disparaging, regarding detrimental comments about the Company, or any of its officers, directors, employeesemployees or agents nor will the Executive authorize, shareholders, representatives encourage or agentsparticipate with anyone on the Executive’s behalf to make such statements.

Non-Disparagement. The Executive shall not make any no statements disparaging remarks, or any remarks that could reasonably be construed as disparaging, regarding the Company, or any of its affiliates, any of its officers, directors, or employees, shareholders, representatives or agentsany of its business practices. The Company’s directors and officers shall make no statements disparaging the Executive.

Non-Disparagement. The Executive shall not make any refrain from criticizing or making disparaging remarks, or derogatory comments about the Company or any remarks that could reasonably be construed as disparaging, regarding of its affiliates and the Company, or its current and former officers, directors, employees, shareholdersagents, representatives products or agentsservices of the Company or any of its affiliates, and the Company agrees that the officers and directors of the Company shall refrain from criticizing or making disparaging or derogatory comments about the Executive.

Non-Disparagement. The Executive shall agrees that he will not make any disparaging remarkscritical, derogatory, disparaging, or defamatory comments in any remarks that could reasonably be construed as disparaging, respect regarding the Company or the Company, or its ’s officers, directors, agents, employees, shareholderscounsel, representatives insurers or agentssuccessors or assigns. The Company will instruct its directors and its Chief Executive Officer not to make any critical, derogatory, disparaging, or defamatory comments in any respect regarding Executive.

Non-Disparagement. The Executive shall not make any disparaging remarks, disparage the Company or any remarks that could reasonably be construed as disparaging, regarding the Companyother Releasees, or its officers, directorsdirectors or employees in any way orally or in writing. The Company shall, employeesand the Company shall take reasonable measures to cause its directors and officers to, shareholdersrefrain from disparaging the Executive in any way, representatives orally or agentsin writing.

Non-Disparagement. The Executive shall not make any disparaging remarks, or ----------------- derogatory remarks of any remarks that could reasonably be construed as disparaging, regarding nature whatsoever about the Company, or its officers, directorsdirectors or Executives, employeesor its services and/or products (if any), shareholderseither publicly or privately, representatives or agentsunless required by law.

Non-Disparagement. The Executive shall will not at any time, either orally or in writing, make any disparaging remarks, or any remarks that could reasonably be construed as disparaging, regarding concerning the Company, or its officers, directors, employees, shareholdersdirectors or officers. Notwithstanding the foregoing, representatives Executive will respond accurately and fully to any question, inquiry or agentsrequest for information as may be required by legal process, law or regulation.

Non-Disparagement. The Executive shall not make any disparaging remarksstatements, encourage others to make statements or any remarks release information that could would or is reasonably be construed as disparaging, regarding expected to disparage or defame the Company, any of its affiliates or its any of their respective directors or officers. Notwithstanding the foregoing, directors, employees, shareholders, representatives or agents.nothing in this Section

Non-Disparagement. The During and after the Term, the Executive agrees that he shall not make any false, defamatory or disparaging remarksstatements about any of the Companies, any of their affiliates or any remarks that could reasonably be construed as disparaging, regarding the Company, of their officers or its officers, directors, employees, shareholders, representatives or agents.

The Company agrees that it will use its best efforts to prevent any disparagement of Executive by any of its personnel and will take responsive action to stop any disparagement of which it learns. Notwithstanding the foregoing, this provision shall not preclude Executive or the Company from making truthful statements to any government agency or pursuant to any lawful subpoena.
