Common use of Non-duplication Clause in Contracts

Non-duplication. In the event that the Executive shall perform services for the Bank or any other direct or indirect subsidiary or affiliate of the Company or the Bank, any compensation or benefits provided to the Executive by such other employer shall be applied to offset the obligations of the Company hereunder, it being intended that this Agreement set forth the aggregate compensation and benefits payable to the Executive for all services to the Company, the Bank and all of their respective direct or indirect subsidiaries and affiliates.

Non-duplication. In the event that the Executive shall perform services for the Bank or Company, the Bank, and/or any other of their direct or indirect subsidiary or affiliate of the Company or the Banksubsidiaries, any compensation or benefits provided to the Executive by such other employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Company Employer hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive for all services rendered to the Company, the Bank Bank, and all any of their respective direct or indirect subsidiaries and affiliatessubsidiaries.

In the event that the Executive shall perform services for the Bank or any other direct or indirect subsidiary or affiliate of the Company or the Commercial Bank, any compensation or benefits provided to the Executive by such other employer shall be applied to offset the obligations of the Company and the Commercial Bank hereunder, it being intended that this Agreement set forth the aggregate compensation and benefits payable to the Executive for all services to the Company, the Commercial Bank and all of their respective direct or indirect subsidiaries and affiliates.

In the event that the Executive shall perform services for the Bank or any other direct or indirect subsidiary or affiliate of the Company or the BankHolding Company, any compensation or benefits provided to the Executive by such other employer shall be applied to offset the obligations of the Holding Company hereunder, it being intended that this Agreement set forth the aggregate compensation and benefits payable to the Executive for all services to the Company, the Bank Holding Company and all of their respective its direct or indirect subsidiaries and affiliatessubsidiaries.
