Non-Existence of Other Agreements. (i) SPV is not a party to any contract or agreement of any kind or nature and SPV is not subject to any obligations or liabilities of any kind or nature in favor of any third party, including, without limitation, Contingent Obligations. (ii) SPV has not engaged in any activities since its formation (other than those incidental to its formation and other appropriate actions including the execution of the Transaction Documents to which it is a party and the performance of the activities referred to in or contemplated by such agreements).
