Common use of Non-Global Security to Non-Global Security Clause in Contracts

Non-Global Security to Non-Global Security. A Security that is not a Global Security may be transferred, in whole or in part, to a Person who takes delivery in the form of another Security that is not a Global Security as provided in Section 3.06(a), provided that, if the Security to be transferred in whole or in part is a Restricted Security, or is a Regulation S Security and the transfer is to occur during the Restricted Period, then the Trustee shall have received (A) a Restricted Securities Certificate, in the form of Annex B hereto, duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Restricted Security, or (B) a Regulation S Certificate, satisfactory to the Trustee and duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Regulation S Security (subject in each case to Section 306(c)).

Non-Global Security to Non-Global Security. A Security that is not a Global Security may be transferred, in whole or in part, to a Person who takes delivery in the form of another Security that is not a Global Security as provided in Section 3.06(a3.6(a), provided that, if the Security to be transferred in whole or in part is a Restricted Security, or is a Regulation S Security and the transfer is to occur during the Restricted Period, then the Trustee shall have received (A) a Restricted Securities Certificate, in satisfactory to the form of Annex B hereto, Trustee and duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Restricted Security, or (B) a Regulation S Certificate, satisfactory to the Trustee and duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Regulation S Security (subject in each every case to Section 306(c3.6(c)).

A Security that is not a Global Security may be transferred, in whole or in part, to a Person who takes delivery in the form of another Security that is not a Global Security as provided in Section 3.06(a305(a), provided that, if the Security to be transferred in whole or in part is a Restricted Security, or is a Regulation S Security and the transfer is to occur during the Restricted Period, then the Trustee shall have received (A) a Restricted Securities Certificate, in satisfactory to the form of Annex B hereto, Trustee and duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Restricted Security, or (B) a Regulation S Certificate, satisfactory to the Trustee and duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Regulation S Security (subject in each every case to Section 306(c305(c)).

Non-Global Security to Non-Global Security. A Security that is not a Global global Security may be transferred, in whole or in part, to a Person person who takes delivery in the form of another Security that is not a Global global Security in accordance with the terms of this Indenture and such Security; provided, that the Trustee, as provided in Section 3.06(a)Security Registrar, provided that, if the Security to be transferred in whole or in part is a Restricted Security, or is a Regulation S Security and the transfer is to occur during the Restricted Period, then the Trustee shall have received (Ax) a Restricted Securities Certificate, in the form of Annex B hereto, Rule 144A Certificate duly executed by the transferor Holder holder or his attorney duly authorized in writingwriting (the Trustee may conclusively presume such due execution without any inquiry on its part), in which case the transferee Holder holder shall take delivery in the form of a Restricted Rule 144A Security, or (By) a Regulation S Certificate, satisfactory to the Trustee and Certificate duly executed by the transferor Holder holder or his attorney duly authorized in writingwriting (the Trustee may conclusively presume such due execution without any inquiry on its part), in which case the transferee Holder holder shall take delivery in the form of a Regulation S Security (subject in each case to Section 306(c305(2)(i)).

Non-Global Security to Non-Global Security. A Security that is not a Global Security may be transferred, in whole or in part, to a Person who takes delivery in the form of another Security that is not a Global Security as provided in Section 3.06(a), provided thatprovided, that if the Security to be transferred in whole or in part is a Restricted Security, or is a Regulation S Security and the transfer is to occur during the Restricted Period, then the Trustee shall have received (A) a Restricted Securities Certificate, in the form of Annex B hereto, duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Restricted Security, or (B) a Regulation S Certificate, satisfactory to the Trustee and duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Regulation S Security (subject in each case to Section 306(c)).

Non-Global Security to Non-Global Security. A Security that is not a Global Security may be transferred, in whole or in part, to a Person who takes delivery in the form of another Security that is not a Global Security as provided in Section 3.06(a305(a), provided that, if the Security to be transferred in whole or in part is a Restricted Security, or is a Regulation S Security and the transfer is to occur during the Restricted Period, then the Trustee and the Security Registrar shall have received (Ai) a Restricted Securities Certificate, in satisfactory to the form of Annex B hereto, Trustee and the Security Registrar and duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Restricted Security, Security or (Bii) a Regulation S Certificate, satisfactory to the Trustee and the Security Registrar and duly executed by the transferor Holder or his attorney duly authorized in writing, in which case the transferee Holder or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Regulation S Security (subject in each case to Section 306(c))Security.

Non-Global Security to Non-Global Security. A Security that is not a Global Security may be transferred, in whole or in part, to a Person person who takes delivery in the form of another Security that is not a Global Security as provided in accordance with Section 3.06(a)2.3; provided, provided that, that if the Security to be transferred in whole or in part is (I) a Restricted Security, Rule 144A Security or is (II) a Regulation S Security and the transfer is to occur during (but only during) the Restricted Period, then then, in each case, the Trustee Trustee, as Registrar, shall have received (A) a Restricted Securities Rule 144A Certificate, in satisfactory to the form of Annex B hereto, Trustee and duly executed by the transferor Holder holder or his attorney duly authorized in writing, in which case the transferee Holder holder shall take delivery in the form of a Restricted Rule 144A Security, or (B) a Regulation S Certificate, satisfactory to the Trustee and duly executed by the transferor Holder holder or his attorney duly authorized in writing, in which case the transferee Holder holder shall take delivery in the form of a Regulation S Security (subject in each case to Section 306(c2.6(g)).
