Non-Monetary Terms. By no later than one-hundred and eighty (180) days after dismissal of the Action by the State and Relator, AbbVie agrees to implement or maintain the following non-monetary terms with respect to its offering or operating the HUMIRA Complete Program (the HUMIRA product support program, including the HUMIRA Ambassador Program) in the State of California. Subject to these terms, the State and Relator agree that they will not assert the continued operation of the HUMIRA Complete Program as a basis for IFPA claims:
a. A policy requiring that at least five (5) RSVPs from Health Care Providers (“HCPs”) outside the speaker’s own office must be received at least 48 hours before any speaker program, or else the speaker program will be cancelled.
b. A policy prohibiting HUMIRA sales representatives from inviting HUMIRA prescribing HCPs to offsite business meals, except as part of speaker programs. AbbVie will implement or maintain a conflict of interest policy and train HUMIRA sales representatives under that policy to disclose, and to certify annually that they have disclosed, any social, familial, or other personal relationships with HCPs whom they interact with on behalf of AbbVie that could result in the sales representative hosting those HCPs at their home for a private event involving food or alcohol, in which case the HCP cannot be on the sales representative’s call plan.
c. A policy that HUMIRA Complete speaker programs must include scientific or medical information that will benefit patient care and may discuss the elements of HUMIRA Complete as they relate to those topics. The program title will not contain the name of the “HUMIRA Complete” patient assistance program.
d. Guidance and training prohibiting relevant employees from describing Ambassadors to HCPs as “extensions of their offices” and from providing to HCPs any contact information for Ambassadors who interact with HUMIRA patients.
e. Specific language in HUMIRA Complete enrollment forms disclosing that Ambassadors are provided by AbbVie.
f. Guidance and training requiring Ambassadors to affirmatively disclose to patients that they are provided by AbbVie and do not work under the direction of the patient's prescribing HCP. AbbVie will implement and/or maintain training providing that Ambassadors are representatives of AbbVie who provide individualized education and product support to patients who have been prescribed an AbbVie product.

Non-Monetary Terms. Without admitting any liability or that it is required to do so by law, Apple agrees to the Non-Monetary Terms set forth in this paragraph. Nothing described in this paragraph will inhibit, prevent, or limit Apple from making changes to its Privacy Policy or other disclosures, or changes to other terminology, from time to time, as it deems appropriate in the conduct of its business, provided that such changes are consistent with the terms described in this paragraph or necessary to comply with the law.
a. By six months after the Effective Date, Apple will confirm permanent deletion of individual Siri audio recordings collected by Apple prior to October 2019.
b. By six months after the Effective Date, Apple will publish a webpage further explaining (1) the process by which users may opt in to the “Improve Siri” option on Siri Devices, and (2) the information Applestores fromusers who choose to opt in to Improve Siri.
Non-Monetary Terms. In consideration of the Agreement, CCDC’s full and complete release of all known and unknown claims and the filing of a Stipulation of Dismissal, RTD agrees to take the following actions as detailed below.
a. Boarding Individuals with Disabilities who Use Mobility Aids to Ensure Access Policy. Within 30 calendar days following the Effective Date, RTD will adopt a policy to ensure individuals who use Mobility Aids, including Wheelchairs, have equal access to its buses and to the Securement Areas, substantially in the form of Exhibit A (“Policy”). The Policy will be incorporated into RTD’s Trailblazer, posted on RTD’s website, and otherwise made available to the public using RTD’s regular business practices. The Policy will apply to all bus operators, bus operator training staff, street supervisors, dispatchers and safety and customer service representatives. Each individual will be required to read and acknowledge review of the Policy, and agree to be bound to its terms as a term and condition of that person’s employment. RTD will assess liquidated damages against all contractors who fail to provide written acknowledgement regarding each individual.

Non-Monetary Terms a. The City will make and maintain the following modifications to the Community Assistance Parking Program or any successor program (collectively “▇▇▇▇”). The intent of ▇▇▇▇ is to provide a mechanism for individuals who are homeless or at risk of experiencing homelessness, to resolve open or unpaid parking tickets through community or social service.
i. The City agrees to lift the Department of Motor Vehicles (DMV) registration hold on a ▇▇▇▇ participant’s vehicle upon their enrollment in ▇▇▇▇ to reduce the risk of a participant having their vehicle towed or losing their vehicle after it is towed. The City implemented this change in November 2019.
ii. Upon a participant’s enrollment in ▇▇▇▇, the City agrees to suspend the citations that are enrolled in the participant’s ▇▇▇▇ contract(s) to ensure the participant’s vehicle is not towed or booted for having been issued five or more notices of parking violations. The City implemented these changes in November 2019.
iii. ▇▇▇▇ participants whose vehicles have been booted or towed prior to a person’s enrollment in ▇▇▇▇ are assisted immediately. The City agrees to eliminate any minimum parking citation payment prerequisite for releasing impounded vehicles and will provide a vehicle release authorization upon a participant’s enrollment in ▇▇▇▇. The City implemented these changes in November 2019.
b. The City agrees to maintain and abide by its written Administrative Procedural Manual (Manual) for the ▇▇▇▇ program, and to make any necessary amendments to current written procedures to be consistent with the terms of this Agreement by the end of the first quarter of 2021. The City will email a copy of the Manual to Petitioner’s counsel by December 15, 2020 and also the updated manual by the end of the first quarter of 2021. The City agrees to distribute upon request a ▇▇▇▇ information sheet or pamphlet, and place a link to same on the ▇▇▇▇ website, to assist ▇▇▇▇ participants and their advocates.
c. The City agrees that a ▇▇▇▇ Contract Administrator will serve as a ▇▇▇▇ ombudsperson and will be responsible for communication with and responding to questions or problems raised by ▇▇▇▇ participants or advocates/service providers if issues are not resolved by contact with ▇▇▇▇ staff. The City agrees to specify the availability of an ombudsperson’s in ▇▇▇▇’▇ Administrative Procedural Manual. Non-Monetary Terms. Defendants agree to the following:
Non-Monetary Terms. 13.1. Defendant shall continue its established practice of conducting periodic requests for proposals (RFP) for the Plan’s recordkeeping services. For example, prior to this agreement Defendant has already initiated an RFP for the Plan’s recordkeeping services in 2025. In line with its established practice, Defendant intends to complete this RFP.
Non-Monetary Terms. 12.1. Within three (3) years after the Settlement Effective Date, if the Plan’s fiduciaries have not already done so, the Plan’s fiduciaries will conduct or cause to be conducted a request for proposal relating to the Plan’s recordkeeping services.
12.2. To the extent not already in place, the Plan’s fiduciaries shall institute two (2) hours of mandatory fiduciary training for all members of the Benefits Plus 401(k) Profit Sharing Committee to take place on an annual basis.
Non-Monetary Terms. 13.1. Defendants shall conduct a request for proposal (RFP) for the Plan’s recordkeeping services by the end of 2026. That RFP shall include competitive bids from at least three providers, and may (at Defendants’ election) be overseen by a third-party consultant. Defendants shall notify Class Counsel when the RFP process has been completed, but shall not be required to share any further details regarding the RFP process with Class Counsel.
Non-Monetary Terms. The parties acknowledge and agree that this Agreement includes certain non-monetary terms, which are included in Exhibit A and are incorporated into this Agreement by reference. The parties agree that the non-monetary terms are enforceable as outlined in Exhibit A, and that any dispute regarding the non-monetary terms does not affect the validity and enforceability of the remainder of the Agreement.
