Common use of Non-Recourse Parties Clause in Contracts

Non-Recourse Parties. Notwithstanding any provision of this Agreement or otherwise, the parties to this Agreement agree on their own behalf and on behalf of their respective Subsidiaries and Affiliates that no Non-Recourse Party of a party to this Agreement shall have any liability relating to this Agreement or any of the transactions contemplated herein except to the extent agreed to in writing by such Non-Recourse Party.

Non-Recourse Parties. Notwithstanding any provision of this Agreement or otherwise, the parties each party to this Agreement agree agrees on their its own behalf and on behalf of their respective its Subsidiaries and Affiliates that no Non-Recourse Party of a party to this Agreement shall have any liability relating to this Agreement or any of the transactions contemplated herein Transactions except to the extent agreed to in writing by such Non-Recourse Party.

Notwithstanding any provision of this Agreement or otherwise, without limiting claims for Fraud, the parties to this Agreement agree on their own behalf and on behalf of their respective Subsidiaries and Affiliates that no Non-Recourse Party of a party to this Agreement shall have any liability relating to this Agreement or any of the transactions contemplated herein except to the extent agreed to in writing by such Non-Recourse PartyParty or pursuant to a Letter of Transmittal, the Support Agreement or a Restrictive Covenant Agreement.

Notwithstanding any provision of this Agreement or otherwise, the parties to this but without limiting claims under any other Transaction Agreement agree on their own behalf and on behalf of their respective Subsidiaries and Affiliates that or claims for Fraud, no Non-—Recourse Party of a party to this Agreement shall have any liability relating to this Agreement or any of the transactions contemplated herein Transactions except (a) as set forth in the Guarantee with respect to the Guarantor and (b) to the extent otherwise agreed to in writing by such Non-—Recourse Party.
