Non-Violation of Laws etc. its entry into, exercise of its rights and/or performance of or compliance with its obligations under the Transaction Documents do not and will not violate (i) any law to which it is subject or (ii) any of the documents constituting the Borrower or (iii) any agreement to which it is a party or which is binding on it or its assets to an extent or in a manner which has or will have a Material Adverse Effect on it, and do not and will not result in the existence of, or oblige it to create, any security over those assets;
