Not a Joint Venture. The Parties expressly disclaim any intention to create a partnership, joint venture or joint enterprise. The Parties acknowledge and agree that: 17.10.1 nothing contained in the License Agreement nor any acts of any Party shall constitute or be deemed to constitute the Parties as partners, joint venturers or principal and agent in any way or for any purpose; 17.10.2 no Party has the authority to act for, or to assume any obligation or responsibility on behalf of any other Party; and 17.10.3 the relationship between the Parties is that of licensor and licencee.
