The Administrative Agent shall have received copies of any waivers and/or amendments waiving or amending the Amended and Restated Note Agreements governing the senior notes of Borrower due January 15, 2002 and May 31, 2005 (as amended), duly executed by Borrower and the noteholders described therein.
