Note Registrar and Paying Agent. (a) With respect to each Series of Notes, there shall at all times be maintained an office or agency in the location set forth in Section 13.04 hereof where Notes of such Series may be presented or surrendered for registration of transfer or for exchange (each, a “Note Registrar”), and for payment thereof (each, a “Paying Agent”) and where notices to or demands upon the Issuer in respect of such Equipment Notes may be served. In the event that no such office or agency shall be maintained or no such notice of location or of change of location shall be given, presentations and demands may be made and notices may be served at the Corporate Trust Office of the Trustee Indenture Trustee. Notwithstanding anything to the contrary in this Master Indenture, the entries in the Register shall be conclusive, in the absence of manifest error, and the Issuer, the Indenture Trustee, and the Noteholders shall treat each Person in whose name a register Note is registered as the beneficial owner thereof (including with respect to all payments of principal and stated interest thereon) for all purposes of this Master Indenture. No transfer of a Note shall be effective unless such transfer has been recorded in the register maintained Register as provided in such office this Section. U.S. Bank shall initially be a Paying Agent and in any other Note Registrar hereunder with respect to the Notes. (b) Each Authorized Agent shall (i) maintain an office or agency in the location listed as its address set forth in Section 13.04, (ii) be a bank, trust company or a corporation organized and doing business under the laws of the Company United States or any state or territory thereof or of the District of Columbia, with a combined capital and surplus of at least $75,000,000 (or having a combined capital and surplus in excess of $5,000,000 and the obligations of which, whether now in existence or hereafter incurred, are fully and unconditionally guaranteed by a Place corporation organized and doing business under the laws of Payment being herein sometimes collectively referred the United States, any state or territory thereof or of the District of Columbia and having a combined capital and surplus of at least $75,000,000), and (iii) be authorized under the laws of the United States or any state or territory thereof to as the “Note Register”) in whichexercise corporate trust powers, subject to supervision by Federal or state authorities (such reasonable regulations requirements, the “Eligibility Requirements”). (c) Any Person into which any Authorized Agent may be merged or converted or with which it may prescribebe consolidated, or any corporation resulting from any merger, consolidation or conversion to which any Authorized Agent shall be a party, or any Person succeeding to the corporate trust business of any Authorized Agent, shall be the successor of such Company shall provide for Authorized Agent hereunder, if such successor Person is otherwise eligible under this Section, without the registration execution or filing of Notes any paper or any further act on the part of the parties hereto or such Authorized Agent or such successor Person. (d) Any Authorized Agent may at any time resign by giving written notice of resignation to the Indenture Trustee and of transfers of Notesthe Issuer. The term “Note Registrar” includes any co-registrars. The Company initially appoints qualified successor Authorized Agents to perform the Trustee as “Note Registrar” and “Paying Agent” in connection with functions of the Notes, until such time as it Authorized Agent that has resigned or a successor whose agency has been appointedterminated or who shall have ceased to be eligible under this Section. The Company may have one or more additional paying agents, and the term “Paying Agent” Issuer shall include any additional Paying Agent. The Company may change the Paying Agent or Note Registrar without prior give written notice to the Holders of Notes. The Company may enter into an appropriate agency agreement with any Note Registrar or Paying Agent not a party to this Indenture. Any such agency agreement shall implement the provisions of this Indenture that relate to such agent. The Company shall notify the Trustee in writing of the name and address of any such agent. If appointment made by it to the Company fails to appoint or maintain a Note Registrar or Paying Agent, Indenture Trustee; and in each case the Indenture Trustee shall act as send notice of such and shall be entitled appointment to appropriate compensation therefor pursuant to Section 707. The Company or any wholly-owned Domestic Subsidiary of the Company may act as Paying Agent (except for purposes of Section 1103 or Section 1205) or Note Registrar. Upon surrender for transfer of any Note at the office or agency of the Company in a Place of Payment, in compliance with all applicable requirements of this Indenture and applicable law, the Company shall execute, and the Trustee shall authenticate and deliver, in the name of the designated transferee or transferees, one or more new Notes, of any authorized denominations and of a like aggregate principal amount. At the option of the Holder, Notes may be exchanged for other Notes of any authorized denominations and of a like aggregate principal amount, upon surrender Noteholders of the Notes of the related Series as their names and addresses appear on the Register for the Notes of such Series. (e) The Issuer agrees to pay, or cause to be exchanged at paid, from time to time reasonable compensation to each Authorized Agent for its services and to reimburse it for its reasonable expenses to be agreed to pursuant to separate agreements with each such office or agency. Whenever any Notes are so surrendered for exchange, the Company shall execute, and the Trustee shall authenticate and deliver, the Notes that the Holder making the exchange is entitled to receive. All Notes issued upon any transfer or exchange of Notes shall be the valid obligations of the Company, evidencing the same debt, and entitled to the same benefits under this Indenture, as the Notes surrendered upon such transfer or exchange. Every Note presented or surrendered for transfer or exchange shall be duly endorsed, or be accompanied by a written instrument of transfer in form satisfactory to the Company duly executed, by the Holder thereof or such ▇▇▇▇▇▇’s attorney duly authorized in writing. No service charge shall be made for any registration, transfer or exchange of Notes, but the Company may require payment of a sum sufficient to cover any transfer tax or other governmental charge that may be imposed in connection therewith. The Company shall not be required (i) to issue, transfer or exchange any Note during a period beginning at the opening of business 15 Business Days before the day of the mailing of a notice of redemption (or purchase) of Notes selected for redemption (or purchase) under Section 1004 and ending at the close of business on the day of such mailing or (ii) to transfer or exchange any Note so selected for redemption (or purchase) in whole or in partAuthorized Agent.
