Notice Events Defined Terms. (a) Executive may terminate this Agreement at any time by providing written notice to the Company. (b) The Company may terminate this Agreement at any time, WITHOUT CAUSE, by providing written notice to Executive. As used in this Agreement, the term "WITHOUT CAUSE" shall mean termination for any reason not specified in Section 5 hereof, and shall include, without limitation: (i) the Company's materially reducing Executive's duties or authority as Chief Operating Officer of the Company; or (ii) disability of Executive; or (iii) the Executive's death.
