Common use of Notice of Actions and Proceedings Clause in Contracts

Notice of Actions and Proceedings. ACRO shall promptly notify Purchaser of any claims, actions, proceedings or investigations commenced or, to its knowledge, threatened, involving or affecting ACRO or any of its property or assets, or, to its knowledge, against any consultant, director, officer or shareholder, in his, her or its capacity as such, of ACRO which, if pending on the date hereof, would have been required to have been disclosed in writing pursuant to Section 3.2 hereof or which relates to the consummation of the Share Purchase or the transactions contemplated hereby.
