Common use of Notice of Adjustments of Conversion Ratio Clause in Contracts

Notice of Adjustments of Conversion Ratio. Whenever the Conversion Ratio is adjusted as herein provided: (a) The Company shall compute the adjusted or readjusted Conversion Ratio and shall prepare an Officers’ Certificate setting forth the adjusted Conversion Ratio and showing in reasonable detail the facts upon which such adjustment is based, and such certificate shall forthwith be filed with the Indenture Trustee, the Conversion Agent and the transfer agent for the Preferred Securities and the Debentures; and (b) a notice stating that the Conversion Ratio has been adjusted and setting forth the adjusted Conversion Ratio shall as soon as practicable be mailed by the Company to all record holders of Preferred Securities and the Debentures at their last addresses as they appear upon the Securities Register of the Trust (as defined in the Trust Agreement) and the Debenture Register of the Company.
