Notice of Certain Occurrences. Seller will notify Purchaser promptly in writing of, and contemporaneously will provide Purchaser with true and complete copies of any and all material information or documents relating to, any event, transaction or circumstance occurring prior to or after the date hereof of which Seller has Knowledge that causes or would cause any covenant or agreement of Seller under this Agreement to be breached, or that renders or would render untrue any representation or warranty of Seller contained in this Agreement as if such representation or warranty were made on or as of the date of such event, transaction or circumstance.
