Common use of Notice of Change in Control or Control Event Clause in Contracts

Notice of Change in Control or Control Event. On the occurrence of any Change in Control or Control Event, the Company shall promptly give written notice of such Change in Control or Control Event to each holder of Notes. In the case that a Change in Control has occurred, such notice shall contain and constitute an offer to prepay Notes as described in Section 8.9(b) and shall be accompanied by the certificate described in Section 8.9(e).

Notice of Change in Control or Control Event. On The Company will promptly upon any Responsible Officer obtaining actual knowledge of the occurrence of any Change in Control or Control Event, the Company shall promptly give written notice of such Change in Control or Control Event to each holder of NotesNotes unless notice shall have been given pursuant to clause (b) of this Section 8.6. In the case that If a Change in Control has occurred, such notice shall contain and constitute an offer to prepay the Notes as described in clause (c) of this Section 8.9(b) 8.6 and shall be accompanied by the certificate described in Section 8.9(e)clause (f) hereof.
