Common use of Notice of Conversion/Continuation Clause in Contracts

Notice of Conversion/Continuation. The Borrower shall deliver a Notice of Conversion/Continuation to the Administrative Agent no later than 10:00 a.m. (Eastern time) at least three (3) Business Days in advance of the proposed conversion/continuation date. A Notice of Conversion/Continuation shall specify (a) the proposed conversion/continuation date (which shall be a Business Day), (b) the aggregate amount of Loans to be converted/continued, (c) the nature of the proposed conversion/continuation, and (d) the requested Interest Period. In lieu of delivering a Notice of Conversion/Continuation, the Borrower may give the Administrative Agent Telephonic Notice by the required time of any proposed conversion/continuation under this Section 2.8; provided, however, that such notice shall be promptly confirmed in writing by a Notice of Conversion/Continuation delivered to the Administrative Agent on or before the proposed conversion/continuation date. The execution and delivery of each Notice of Conversion/Continuation shall be deemed a representation and warranty by the Borrower that the requested conversion/continuation may be made in accordance with, and will not violate the requirements of, this Agreement, including those set forth in Sections 2.8.1 and 2.15.1.

The Domestic Borrower shall deliver a Notice of Conversion/Continuation to the Administrative Agent Agent, and the Euro Borrower shall deliver a Notice of Conversion/Continuation to the Euro Loan Agent, as applicable, in each case no later than 10:00 11:00 a.m. (Eastern Central time) at least three (3) Business Days in advance of the proposed conversion/continuation date. A Notice of Conversion/Continuation shall specify (a) the proposed conversion/continuation date (which shall be a Business Day), (b) the aggregate amount of Loans to be converted/continued, (c) the nature of the proposed conversion/conversion/ continuation, and (d) the requested Interest Period. In lieu of delivering a Notice of Conversion/Continuation, the Domestic Borrower or the Euro Borrower may give the Administrative applicable Agent Telephonic Notice telephonic notice by the required time of any proposed conversion/continuation under this Section 2.82.4; provided, however, that such notice shall be promptly confirmed in writing by a Notice of Conversion/Continuation delivered to the Administrative applicable Agent on or before the proposed conversion/continuation date. The execution and delivery of each Notice of Conversion/Continuation shall be deemed a representation and warranty by the Borrower that the requested conversion/continuation may be made in accordance with, and will not violate the requirements of, this Agreement, including those set forth in Sections 2.8.1 2.4.1 and 2.15.12.11.1.
