Common use of Notice of Litigation and Default Clause in Contracts

Notice of Litigation and Default. ACT shall furnish to the Administrative Agent prompt notice of the following events after any Credit Party has become aware thereof and has made a reasonable determination with respect thereto (which notice shall in any event be given within ten (10) Business Days after any Credit Party has become aware thereof): 12.8.1 the commencement of any Litigation against a Credit Party or any of its properties or assets, alleging damages in excess of US$20,000,000 or which would reasonably be expected to have a Material Adverse Effect; and 12.8.2 any Default.
